1. Agreement to Terms
By accessing or using CornerRush Automation services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Description of Services
CornerRush Automation provides done-for-you AI automation services including voice agents, SMS automation, and workflow integration. We handle setup, configuration, and ongoing management of these services on behalf of your business.
3. Account Registration
To use our services, you must provide accurate and complete information during the onboarding process. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.
4. Payment Terms
4.1 Subscription Fees: Services are billed monthly in advance. Payment is due on the 1st of each month. Setup fees (if applicable) are due before work begins.
4.2 Usage Overage: Plans include fair-use limits. Overage is billed at cost plus 15-20% with a hard monthly cap as specified in your plan details.
4.3 Late Payments: Accounts more than 7 days overdue may have services suspended. A $25 late fee applies to overdue balances.
5. Service Level Agreement
5.1 Uptime: We guarantee 99.9% uptime for our services, excluding scheduled maintenance and circumstances beyond our control.
5.2 Support: Email support is provided for all plans. Priority support response times vary by plan tier as described in your service agreement.
5.3 Maintenance: Scheduled maintenance will be communicated at least 48 hours in advance when possible.
6. Customer Responsibilities
You agree to:
- Provide accurate business information for AI training
- Maintain necessary integrations (calendar, CRM access)
- Respond to approval requests within 2 business days
- Use services in compliance with all applicable laws
- Not use services for illegal, fraudulent, or harmful purposes
7. Data and Privacy
Your use of our services is also governed by our Privacy Policy. You retain ownership of your business data. We process data only as necessary to provide and improve our services.
8. Intellectual Property
All materials, code, systems, and methodologies developed by CornerRush remain our intellectual property. You receive a license to use these solely for the duration of your active subscription.
9. Cancellation and Termination
9.1 By Customer: You may cancel with 30 days written notice. No refunds for partial months. Annual contracts may have early termination fees.
9.2 By CornerRush: We may terminate services immediately for violations of these terms, non-payment, or illegal use. We may also terminate with 30 days notice for any reason.
9.3 Data Return: Upon cancellation, we'll provide your data in a standard format within 30 days, then securely delete it from our systems.
10. Limitation of Liability
CornerRush's liability is limited to the amount paid for services in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages. We are not responsible for missed business opportunities due to technical failures.
11. Indemnification
You agree to indemnify and hold harmless CornerRush from any claims arising from your use of our services, your content, or your violation of these terms.
12. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email. Continued use of services after changes constitutes acceptance of the updated terms.
13. Governing Law
These terms are governed by the laws of the State of Connecticut, USA. Any disputes shall be resolved in the courts of Connecticut.
